These Terms of Service ("Terms") govern your access to and use of the Righthium platform ("Service"), operated by Righthium ("Company," "we," or "us"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By registering an account or using the Service, you confirm that you have the authority to bind yourself or your organization to these Terms. If you are using the Service on behalf of a company, you represent that you have the authority to bind that company.
2. Description of Service
Righthium is a blockchain-based property rights verification platform that allows institutional clients to tokenize property rights, issue cryptographic verification certificates, and maintain immutable audit trails. The Service includes:
- Company administration dashboard for managing properties, tokens, customers, and staff
- Customer portal for viewing and verifying property token status
- Public verification interface for third-party verification of token validity
- API access for platform integrations (on applicable plans)
3. Account Registration
You must provide accurate information when registering. You are responsible for maintaining the security of your credentials and for all activity that occurs under your account. You must notify us immediately at support@righthium.com of any unauthorized use.
4. Acceptable Use
You agree not to use the Service to:
- Submit false, fraudulent, or misleading property records
- Violate any applicable law or regulation
- Interfere with or disrupt the Service or its infrastructure
- Attempt to gain unauthorized access to any portion of the Service
- Use the Service to infringe intellectual property rights of any party
5. Blockchain Records and Immutability
Property records anchored to the blockchain (Polygon network) are permanent and immutable. Once a token or cryptographic hash is written to the blockchain, it cannot be deleted or modified. You accept this characteristic as an inherent feature of the Service.
6. Subscription and Billing
Access to the Service is subject to applicable subscription fees. Fees are billed in advance on a monthly basis. Failure to pay may result in suspension of your account. All fees are non-refundable except as required by applicable law or as expressly stated in these Terms.
7. Intellectual Property
The Service, including its software, design, and documentation, is owned by Righthium and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. RIGHTHIUM DOES NOT PROVIDE LEGAL ADVICE AND BLOCKCHAIN RECORDS DO NOT CONSTITUTE LEGAL TITLE. YOU ARE RESPONSIBLE FOR ENSURING COMPLIANCE WITH APPLICABLE LAWS IN YOUR JURISDICTION.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RIGHTHIUM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.
10. Termination
Either party may terminate the agreement with 30 days' written notice. We may suspend or terminate your account immediately for material breach of these Terms. Upon termination, your access to the Service will cease, but blockchain records will remain immutable.
11. Governing Law
These Terms are governed by the laws of the jurisdiction in which Righthium is incorporated. Disputes shall be resolved through binding arbitration, except where prohibited by law.
12. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or platform notification. Continued use after changes constitutes acceptance of the updated Terms.
